Terms and Conditions
These terms apply to all quotes, agreements and deliveries by Filplast B.V.
Article 1 β Definitions
- Filplast: Filplast B.V., registered in Doetinchem, CoC 98504266.
- Customer: the natural or legal person entering into an agreement with Filplast.
- Agreement: every arrangement between Filplast and the Customer, including quotes accepted by the Customer.
- Product: windows, doors, sliding doors and related products.
Article 2 β Applicability
- These terms apply to all quotes, offers and agreements between Filplast and the Customer.
- Deviations are only valid if agreed in writing.
- The applicability of any purchase or other terms of the Customer is explicitly rejected.
Article 3 β Quotes and offers
- All quotes are non-binding unless explicitly stated otherwise.
- A quote is valid for 30 days from the date of issue, unless otherwise indicated.
- Prices in quotes are exclusive of VAT unless otherwise stated.
- The Customer accepts a quote by signing or digital confirmation via the verification code (OTP) provided by Filplast.
- A quote accepted by the Customer constitutes a binding agreement.
Article 4 β Prices
- All prices are in euros and exclusive of VAT, transport and installation costs, unless otherwise stated in the quote.
- Filplast reserves the right to adjust prices in case of demonstrable increase in raw material or production costs, provided the agreement has not yet been signed.
- Prices in the online configurator are indicative and do not constitute legal grounds for a final order.
Article 5 β Delivery
- The standard delivery time is 4-5 weeks after signing the agreement and receipt of the deposit.
- Delivery times are indicative. Exceeding the delivery time does not entitle the Customer to compensation or cancellation.
- Delivery is ex-factory unless otherwise agreed. Transport costs are at the expense of the Customer unless otherwise stated.
- For orders above β¬2,500 excluding VAT, transport to the door is free within the Netherlands.
- The risk of damage or loss passes to the Customer at the time of delivery.
Article 6 β Payment
- A deposit of 30% is due upon entering the agreement.
- The remaining amount must be paid before delivery, unless agreed otherwise in writing.
- In case of late payment, the Customer is automatically in default and Filplast is entitled to charge statutory interest.
Article 7 β Warranty
- Filplast provides a 10-year warranty on all delivered products, starting from the date of delivery.
- The warranty covers: profile deformation, discolouration, function of hardware, watertightness and insulation value of the glass package.
- The warranty lapses in case of: improper use, modifications by third parties, damage due to vandalism or external causes, and failure to follow maintenance instructions.
- When Filplast has performed the installation, the warranty also applies to the installation.
Article 8 β Complaints
- The Customer must report defects upon delivery within 48 hours in writing.
- Hidden defects must be reported within 14 days of discovery.
- Complaints do not suspend the Customer's payment obligation.
Article 9 β Right of withdrawal and cancellation
- All Filplast products are manufactured exclusively to the Customer's specifications. Pursuant to the exception for custom-made goods under Dutch distance selling law, the statutory right of withdrawal does not apply to these agreements.
- The Customer may cancel free of charge until Filplast has started production. Filplast will confirm in writing when production commences.
- Upon cancellation after the start of production, Filplast is entitled to charge the production and material costs already incurred, plus a minimum cancellation fee of 30% of the order value.
Article 10 β Retention of title
- All delivered products remain the property of Filplast until the Customer has paid the full agreed amount, including any interest and costs.
- Until ownership has transferred, the Customer is not authorised to sell, encumber or otherwise dispose of the products in a manner that prejudices the rights of Filplast.
- In the event of non-fulfilment of the payment obligation, Filplast is entitled to reclaim the products, without prejudice to the right to full compensation.
Article 11 β Liability
- The liability of Filplast is limited to the amount of the relevant agreement.
- Filplast is not liable for indirect damage, including consequential damage, lost profits or missed savings.
- Filplast is not liable for damage caused by incorrect information provided by the Customer, including incorrect dimensions.
Article 12 β Force Majeure
- In case of force majeure, Filplast is entitled to suspend or dissolve the agreement without being held to pay compensation.
- Force majeure includes: strikes, transport problems, fire, government measures and supply problems with suppliers.
Article 13 β Applicable law
- Dutch law applies to all agreements.
- Disputes will be submitted to the competent court in the district of Gelderland.
